Terms of Service

1. Agreement
By engaging Chiavunwhi S.r.l. ("we", "us") for workspace interior design services, you ("Client") agree to these Terms of Service. All services are provided subject to a separate project agreement that references these terms.
2. Services & Pricing
All prices are quoted in Euros (EUR) and are exclusive of VAT (22% IVA) unless otherwise stated. Quotes are valid for 30 days from the date of issue. We reserve the right to adjust pricing for materials and labour cost changes exceeding 10% between quote and commencement.
3. Payment Terms
Design projects: 40% deposit upon signing, 30% at concept approval, 30% upon delivery. Renovation projects: 30% deposit, progress payments at agreed milestones, 10% retention released after 30-day snag period. Late payments incur interest at 1.5% per month.
4. Intellectual Property
All design concepts, drawings, and 3D renderings remain our intellectual property until full payment is received. Upon final payment, the Client receives a licence to use the designs for the specified project. Designs may not be reproduced for other locations without our written consent.
5. Warranties
We warrant our design services for 12 months from handover. Renovation workmanship is warranted for 12 months. Furniture warranties are provided by manufacturers. This warranty does not cover damage from misuse, unauthorised modifications, or normal wear and tear.
6. Cancellation
Design projects may be cancelled with 14 days written notice. The deposit is non-refundable. Work completed to date will be invoiced at agreed rates. Renovation cancellations after commencement require payment for all completed work plus 15% of remaining contract value.
7. Limitation of Liability
Our total liability for any claim shall not exceed the total fees paid by the Client for the specific project. We are not liable for indirect, consequential, or incidental damages.
8. Governing Law
These terms are governed by Italian law. Disputes shall be resolved in the courts of Milan, Italy. For EU consumers, mandatory consumer protection laws of your country of residence apply where required.
